Timing

Question: What is the normal time period between execution of a letter of intent and the closing?

Factors that will affect timing include: (i) whether or not an audit will be performed (and will it be performed before or after the Closing); (ii) obtaining of third-party financing; (iii) obtaining third-party consents; (iv) any requirements for anti-trust filings (Hart-Scott-Rodino filing); (v) ability to complete due diligence; and timeliness of response by the other side. Depending upon the items that the Buyer may be willing to waive, a transaction can be completed within a week to two weeks; however, the normal time frame for closing from the date of the letter of intent is from one to two months. The timing of each transaction will vary, however, and these guidelines may not fit the facts of your transaction.
